Welcome to ZALAS.tech. These Terms and Conditions explain how we provide our services and what is expected from both ZALAS.tech and our clients.

By using our website, requesting a quote, approving a project, or purchasing any service from ZALAS.tech, you agree to the terms below.

1. Services

ZALAS.tech provides digital services including, but not limited to:

  • Website design and development

  • WordPress and eCommerce websites

  • SEO services

  • Google Ads and Facebook Ads setup or management

  • Digital marketing services

  • Website hosting

  • Domain and email setup assistance

  • Mobile app development

  • AI automation solutions

  • Website maintenance and technical support

The exact services, inclusions, pricing, and project scope will be confirmed in writing through a quote, proposal, invoice, or email agreement.

2. Client Responsibilities

To complete your project properly and on time, you agree to provide all required information, content, images, login details, product details, brand assets, and feedback when requested.

You are responsible for ensuring that any content, images, logos, trademarks, text, product information, or other materials provided to us are legally owned by you or that you have permission to use them.

Project delays may occur if required information or approvals are not provided on time.

3. Quotes and Project Approval

Any quote or proposal provided by ZALAS.tech is based on the information available at the time. If the project requirements change, additional costs may apply.

A project is considered approved once the client confirms acceptance by email, message, signed agreement, payment of deposit, or any other written confirmation.

4. Payment Terms

Payment terms will be stated on the quote, invoice, or agreement.

Unless otherwise agreed in writing:

  • A deposit may be required before work begins.

  • Final payment must be made before the website, files, or project is handed over or made live.

  • Hosting, maintenance, advertising management, and ongoing services may be billed monthly, yearly, or as agreed.

  • All prices are exclusive of GST unless clearly stated otherwise.

  • Late payment may result in project delays, suspension of services, or temporary restriction of access.

ZALAS.tech reserves the right to pause work or suspend services if payments are overdue.

5. Website Hosting and Third-Party Services

If ZALAS.tech provides hosting, domain, email, plugins, themes, software, advertising accounts, or third-party integrations, these may be subject to separate terms from the relevant provider.

ZALAS.tech is not responsible for downtime, technical issues, price changes, policy changes, or service interruptions caused by third-party platforms, hosting providers, payment gateways, plugins, social media platforms, search engines, or software providers.

6. Website Content and Approval

The client must review all website content, design, pages, forms, product details, pricing, links, and functionality before final approval.

Once the project is approved or made live, any further changes may be treated as additional work and may incur extra charges.

7. Revisions

The number of included revisions will depend on the agreed package or project scope.

Revisions must relate to the original agreed scope. New features, major design changes, additional pages, extra products, advanced functionality, or changes outside the original scope may require a separate quote.

8. Project Timelines

Project timelines are estimates only and may depend on the size of the project, client response time, content availability, third-party approvals, technical requirements, and payment status.

ZALAS.tech will make reasonable efforts to complete work within the agreed timeframe, but we are not responsible for delays caused by late content, delayed feedback, third-party issues, or changes to the project scope.

9. Intellectual Property

Unless otherwise agreed in writing, once full payment has been received, the client will own the final website content and design created specifically for them.

ZALAS.tech may retain ownership of reusable code, systems, templates, frameworks, processes, tools, or methods used to complete the project.

The client must not copy, resell, or redistribute any ZALAS.tech systems, templates, automation workflows, or custom processes without written permission.

10. Portfolio and Marketing Use

Unless the client requests otherwise in writing, ZALAS.tech may display completed work, screenshots, project details, business name, website link, or results as part of our portfolio, case studies, marketing material, or social media content.

11. Refund Policy

Deposits and payments made for completed work, time spent, planning, design, development, setup, consultation, or third-party costs are generally non-refundable.

Refunds are not provided where work has already started, services have been delivered, or the client changes their mind.

If a refund is approved at ZALAS.tech’s discretion, any completed work, admin time, transaction fees, third-party costs, and project expenses may be deducted from the refund amount.

12. Cancellations

If the client decides to cancel a project after work has started, the client may still be required to pay for work already completed, time spent, third-party costs, and any agreed project expenses.

ZALAS.tech may cancel or refuse a project if the client provides false information, delays the project for an unreasonable period, fails to make payment, requests unlawful work, or breaches these terms.

13. SEO and Marketing Results

ZALAS.tech may provide SEO, Google Ads, Facebook Ads, social media, email marketing, and digital marketing services. While we aim to improve online visibility, leads, traffic, and performance, we do not guarantee specific rankings, sales, enquiries, revenue, or business results.

Marketing results can be affected by many factors including competition, budget, industry, website quality, customer demand, search engine updates, advertising policies, and market conditions.

14. AI Automation Services

ZALAS.tech may provide AI automation setup, chatbot systems, workflow automation, lead follow-up systems, and related digital tools.

AI automation results may vary depending on the quality of data, system setup, third-party platforms, client usage, and business processes. The client is responsible for reviewing automated messages, outputs, and workflows to ensure they are suitable for their business.

15. Limitation of Liability

ZALAS.tech will take reasonable care when providing services. However, we are not liable for any indirect loss, loss of income, loss of profit, loss of data, website downtime, advertising account suspension, third-party service failure, search engine ranking changes, or business interruption.

Our liability is limited to the amount paid by the client for the specific service related to the issue.

16. Website Security and Maintenance

While ZALAS.tech may provide website security, updates, backups, and maintenance services, no website or system can be guaranteed to be completely secure.

Clients are responsible for using strong passwords, keeping login details safe, and notifying us promptly if they notice any suspicious activity.

If the client does not have an active maintenance plan, updates, fixes, backups, or security recovery work may be charged separately.

Any additional content, plugins, modules, custom code, third-party integrations, or changes added to the website by the client or any third party may affect the website’s performance, design, security, or functionality. If the website stops working, breaks, shows errors, or requires repair due to such additions or changes, this will not be covered under standard support. ZALAS.tech may charge an additional fee to investigate, fix, restore, or repair the website.

17. Client Access and Login Details

The client is responsible for keeping all website, hosting, email, domain, and platform login details secure.

ZALAS.tech is not responsible for issues caused by unauthorised access, weak passwords, shared login details, client changes, or third-party access granted by the client.

18. Changes to These Terms

ZALAS.tech may update these Terms and Conditions from time to time. The updated version will be published on our website and will apply from the date of publication.

19. Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes will be handled under New Zealand law.
